Terms & Conditions, Confidentiality & Non-Compete Agreement

By purchasing, attending, accessing, or participating in any MODERN OPERATOR training, masterclass, workshop, consultancy, online material, or associated content (“Programme”), you (“Participant”) agree to the following Terms & Conditions.

1. Programme Nature

MODERN OPERATOR is a professional training and educational programme designed to provide commercial, marketing, automation, AI agent, lead generation, sales systems, and operational business training.

The Programme may include:

Live in-person masterclasses
Workshops
Online sessions
Video training
Templates
Frameworks
Systems
AI agent workflows
Strategic methodologies
Marketing materials
Documents and presentations
WhatsApp / CRM / automation workflows
Proprietary intellectual property

All materials remain the intellectual property of MODERN OPERATOR and/or MCG Digital Media Ltd unless explicitly stated otherwise.

2. Intellectual Property Ownership

All Programme content is protected by copyright, intellectual property law, and confidential business protections.

This includes but is not limited to:

Training frameworks
Slide decks
Scripts
Sales processes
Funnel structures
AI agent methodologies
Prompt libraries
Operational systems
Marketing strategies
Documents
Videos
Recordings
Workbooks
Templates
Branding
Naming conventions
Visual concepts
Delivery formats

Participants are granted a limited, non-transferable, non-exclusive licence for their own internal personal or business use only.

No ownership rights are transferred.

3. Confidentiality & NDA

By attending the Programme, Participants acknowledge that they may receive confidential and commercially sensitive information.

Participants agree that they shall not:

Share confidential materials with third parties
Reproduce Programme content publicly
Upload materials online
Distribute documents or recordings
Share prompts, systems, workflows, or operational processes externally
Allow unauthorised access to Programme materials
Record sessions without written permission
Repurpose MODERN OPERATOR proprietary methodologies for public training delivery

This confidentiality obligation applies during participation and indefinitely thereafter.

4. Non-Compete & Non-Circumvention

Participants agree that they shall not, for a period of 24 months from the date of attendance:

Create, launch, market, or operate a substantially similar training programme, workshop, masterclass, consultancy, or course which materially replicates the MODERN OPERATOR concept, structure, positioning, curriculum, or proprietary methodologies
Use MODERN OPERATOR training materials to compete directly against MODERN OPERATOR
Deliver or resell substantially similar AI Agent Consultant training derived from the Programme materials
Copy or imitate MODERN OPERATOR branding, naming, sales positioning, frameworks, or commercial delivery structure
Recruit, solicit, or approach MODERN OPERATOR contractors, trainers, staff, affiliates, or delivery partners for competing purposes
Circumvent MODERN OPERATOR in relation to business opportunities, partnerships, suppliers, or affiliates introduced during the Programme

Nothing in this clause prevents Participants from operating their own businesses, agencies, or consultancy services generally, provided they do not materially reproduce or compete directly with the MODERN OPERATOR Programme itself.

5. Restrictions on Recording & Distribution

Participants may not:

Audio record sessions
Video record sessions
Screen record materials
Livestream content
Redistribute training assets
Share member-only access
Upload content to AI model training systems or public repositories

Any unauthorised distribution constitutes a material breach of these Terms.

6. Payments & Booking Policy

All deposits and payments are non-refundable unless otherwise agreed in writing.

Where a reservation deposit is taken:

The deposit secures a provisional seat
Remaining balances must be paid by the stated due date
Failure to complete payment may result in loss of booking

MODERN OPERATOR reserves the right to refuse attendance where balances remain unpaid.

7. Rescheduling

MODERN OPERATOR reserves the right to:

Change venue locations
Change speakers or trainers
Reschedule dates
Move sessions online if necessary

Where MODERN OPERATOR reschedules an event, Participants will be offered a transfer to a future session.

8. Participant Conduct

Participants agree to behave professionally and respectfully.

MODERN OPERATOR reserves the right to remove any Participant without refund for:

Disruptive behaviour
Harassment
Aggressive conduct
Confidentiality breaches
Misuse of Programme materials
Conduct damaging to the MODERN OPERATOR brand or community
9. Results Disclaimer

MODERN OPERATOR does not guarantee:

Revenue outcomes
Client acquisition
Business growth
Specific financial results
Profitability
Employment outcomes

Any examples, case studies, forecasts, or commercial illustrations presented are for educational purposes only.

Success depends on numerous factors including implementation, experience, market conditions, effort, and business execution.

10. Limitation of Liability

To the maximum extent permitted by law:

MODERN OPERATOR and MCG Digital Media Ltd shall not be liable for:

Indirect losses
Consequential losses
Loss of profits
Business interruption
Data loss
Commercial decisions made by Participants

Total liability shall not exceed the amount paid by the Participant for the relevant Programme.

11. No Partnership or Employment Relationship

Participation in the Programme does not create:

A partnership
Joint venture
Employment relationship
Franchise arrangement
Agency relationship

between the Participant and MODERN OPERATOR.

12. Enforcement

Participants acknowledge that breaches relating to confidentiality, intellectual property, or non-compete obligations may cause irreparable commercial harm.

MODERN OPERATOR reserves the right to pursue:

Injunctive relief
Legal remedies
Damages
Recovery of legal costs

where necessary.

13. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Acceptance

By purchasing, booking, accessing, or attending any MODERN OPERATOR Programme, the Participant confirms that they have read, understood, and agreed to these Terms & Conditions in full.
